Terms of Service

Reverse Energy has developed certain proprietary methods for procuring wholesale energy supply and examining utility expenses for their customers and has entered into certain business arrangements with third parties, which allows Reverse Energy to offer these customers favorable utility arrangements. WHEREAS CLIENT owns and/or operates and/or manages a business and desires to have Reverse Energy examine its utility expenses and make certain favorable utility arrangements available to CLIENT.

THEREFORE, CLIENT hereby engages Reverse Energy to perform expense reduction analysis and make written savings recommendations in the following areas: Electricity and / or Natural Gas.

(1) In consideration for providing its proprietary methods to CLIENT, CLIENT hereby authorizes Reverse Energy to represent CLIENT in obtaining energy supply offers, evaluating offers, and assisting in contract negotiations or otherwise advising on energy related matters (collectively the “Services”). CLIENT hereby agrees that during the term of this agreement, Reverse Energy shall be the exclusive provider of the Services to CLIENT. All utility service providers (“Providers”) are hereby requested to forward all offers, communications and correspondence concerning CLIENT to Reverse Energy. These terms of service shall be effective for a period of six months after CLIENT initially engages Reverse Energy for services, and the terms of service shall automatically renew after the initial six months and/or during the term of any service agreement between CLIENT and a Provider for a period of 2 years. Client agrees not to use our recommendations and cost control programs  to negotiate with Energy Providers. To cancel service with Reverse Energy CLIENT must provide a request in writing prior to the initial six months of service has ended. These terms of service will also automatically renew for a period of two years upon CLIENTS additional request of services from Reverse Energy at any time.

(2) Reverse Energy will perform all services required to analyze the above indicated expense areas and submit written recommendation(s) that will enable CLIENT to potentially realize savings in those areas. Regardless of which Provider CLIENT chooses, a fee is paid by Provider to Reverse Energy. Reverse Energy does not invoice client for its Services.

(3) Reverse Energy will have access to the appropriate accounting records of CLIENT for the purpose of initial analysis and subsequent follow-up, subject to normal confidentiality requirements of the CLIENT. Reverse Energy will also have access to current suppliers. Reverse Energy acknowledges the confidentiality of all CLIENT information received during the analysis and agrees not to disclose such information unless so authorized by CLIENT.

(4) In performing the Services, Reverse Energy shall act as an independent contractor and have control of the method and the manner the Services are performed. Reverse Energy is authorized to contract with others to assist in the performance of the Services.

(5) The terms listed above go into effect upon CLIENT’S verbal request for quote, written request for quote through email or regular mail.
